Terms & Conditions

These Terms & Conditions apply to all services provided by VWP Designs (Value WordPress Designs). By accepting a quote, engaging our services, or making payment, you acknowledge that you have read and agree to the terms outlined below.
1. Scope of Work
The scope of work for each service is outlined in the approved proposal or quote. This includes agreed deliverables, timelines, inclusions, exclusions, and any monthly hour allocations where applicable.
Any additional requests outside the approved scope must be confirmed in writing and may result in additional fees or adjustments to project timelines.
For retainer-based services, work is limited to the agreed monthly scope and capped at the allocated hourly allowance specified in the accepted quote.
2. Client Responsibilities
The client agrees to:
• Provide accurate, lawful, and complete content
• Supply required materials within agreed timelines
• Provide consolidated feedback within agreed timeframes
• Maintain appropriate access to required platforms
• Respond to enquiries generated through campaigns in a timely manner
Delays in feedback, approvals, access, or content submission may affect timelines, campaign performance, and scheduled deliverables.
3. Website Design & Development Services
This section applies to new builds, website revamps, maintenance services, and related website support.
3.1 Content
Clients are responsible for providing accurate and lawful content. If content is not supplied, AI-generated placeholder content may be used for layout purposes.
Clients must review and approve all website content before launch.
VWP Designs does not guarantee website traffic, search engine rankings, or business performance unless explicitly stated in writing.
3.2 Maintenance
Maintenance services include agreed updates, backups, and minor adjustments as specified in the service plan.
We are not responsible for issues caused by third-party updates, hosting providers, external integrations, or plugin conflicts outside our control.
4. Social Media Management & Paid Advertising Services
This section applies to social media content creation, scheduling, and advertising campaign management.
4.1 Scope & Hour Allocation
Services are limited to the deliverables and monthly hour allocation defined in the approved quote.
Work exceeding the allocated hours will be billed at the standard hourly rate.
Community management (responding to comments, messages, or WhatsApp enquiries) is not included unless agreed in writing.
4.2 Account Access & Ownership
The client retains ownership of all social media and advertising accounts.
VWP Designs requires appropriate access to perform agreed services and is not responsible for issues caused by restricted access, password changes, removal of permissions, or platform limitations.
4.3 Revisions
Revisions are limited to the number specified in the approved package or quote.
A revision round refers to one consolidated set of feedback submitted in a single communication. Separate or staggered feedback may be treated as additional revisions.
Additional revisions or new creative directions may incur additional charges.
4.4 Advertising Budget
Advertising spend is billed directly to the client by the relevant advertising platform and is not included in management fees.
VWP Designs does not guarantee ad approval by third-party platforms and is not responsible for account restrictions, policy violations, algorithm changes, platform updates, or cost fluctuations.
4.5 Performance Disclaimer
While professional strategy and optimisation are applied, we do not guarantee specific results, including sales, leads, engagement, reach, or return on investment.
Campaign and content performance are influenced by factors beyond our control, including market demand, competition, pricing, audience behaviour, platform algorithms, and client response time to enquiries.
VWP Designs shall not be held liable for underperformance or unmet performance expectations.
5. Timelines & Project Inactivity
Estimated timelines are provided in proposals and depend on client cooperation and timely feedback.
If required content or feedback is not received within 14 days, the project may be placed on hold and rescheduled based on availability.
Projects inactive for 30 days or more may be considered closed. Restarting a closed project may require a restart fee of 25% of the total project cost (minimum R1,500).
Work paused due to non-payment will be rescheduled based on availability once payment has been received.
6. Payments & Billing
Payment schedules are outlined in the approved quote or proposal.
For projects valued above R6,000, a 50% deposit is required before work begins.
Retainer services are billed monthly in advance and are non-refundable once the service month has commenced.
Failure to make payment by the due date may result in temporary suspension of services.
Where discounted retainer rates are offered in exchange for a minimum commitment period, early cancellation may result in the standard rate being applied to completed service months.
7. Hosting Services
Website hosting services provided by VWP Designs (Value WordPress Designs) are billed on a monthly basis.
Clients are encouraged to activate automatic recurring payments via PayFast to ensure uninterrupted service.
Hosting services must remain active for websites hosted through VWP Designs. Failure to maintain an active hosting subscription may result in website suspension until payment is received.
VWP Designs is not responsible for downtime, service interruption, or data loss resulting from unpaid hosting services.
Clients may request cancellation of hosting services before the next billing cycle. Hosting will remain active until the end of the current paid period.
8. Third-Party Tools & Platforms
Our services may incorporate third-party tools, plugins, hosting providers, software platforms, and advertising networks.
VWP Designs is not responsible for service disruptions, outages, policy changes, feature updates, or pricing adjustments made by third-party providers.
9. Intellectual Property
All designs, files, and materials remain the property of VWP Designs (Value WordPress Designs) until full payment has been received.
Upon full payment, the client receives usage rights to the final approved materials created under the agreed project scope.
10. Confidentiality
Both parties agree to maintain the confidentiality of sensitive or proprietary information shared during the course of the project.
11. Limitation of Liability
VWP Designs shall not be liable for indirect, incidental, or consequential damages arising from services provided.
In all cases, total liability shall not exceed the total amount paid by the client for the specific service in dispute.
12. Independent Contractor
VWP Designs operates as an independent contractor and not as an employee, partner, or agent of the client.
13. Indemnity
Clients confirm that all content, claims, pricing, and materials provided are lawful and do not infringe on third-party rights.
Clients agree to indemnify VWP Designs against claims arising from client-provided materials.
14. Data Protection
VWP Designs processes personal information in accordance with applicable data protection laws, including the Protection of Personal Information Act (POPIA) where applicable.
15. Portfolio Rights
VWP Designs reserves the right to showcase completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.
16. Governing Law
These Terms & Conditions are governed by the laws of South Africa. Any disputes shall fall under the jurisdiction of the courts of Cape Town.
17. Force Majeure
VWP Designs shall not be liable for delays or failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, technical outages, or other unforeseen events.
18. Changes to Terms
VWP Designs reserves the right to update or modify these Terms & Conditions at any time.
Continued use of our services after updates constitutes acceptance of the revised Terms.
